Why kiosks in shopping malls (Shop In Shop) may need separate registrations

Kiosks in malls or in-store stores operate in an apparently win-win situation: lower rents than full-service outlets and a general impression that there are no requirements for separate registrations under applicable employment laws, including Shops and Establishments Laws (“S&E”).

S&E legislation, unlike other Indian labor laws, is formulated as state-specific laws and therefore requires multiple registrations for each location. In addition, it applies regardless of the number of employees in the stores/establishment and the salaries received.

It is generally assumed that since shopping centers have their own S&E registrations, it is not necessary to obtain a separate S&E registration to operate from kiosks outside of shopping centers.

However, such an assumption may be incorrect as explained below.

Provisions of Law

* The S&E Laws apply broadly to ‘Shops’ and Commercial Establishments.

* “Stores” is generally interpreted as any establishment where any trade or business is carried on/goods are sold (whether retail or wholesale) or where any service is provided to customers and includes offices, etc. ‘ used primarily in connection with such trade or business.

* Commercial Establishments refer to any premises where any trade, business or profession or work related to, auxiliary or incidental to it is carried out.

* The duty of registration under the S&E Law is imposed on the Employer of the Establishment (an Establishment includes Commercial Establishments and Stores).

* Employer means a person who owns or has ultimate control over the affairs of an Establishment and when the Establishment is not managed by the owner, means the manager, agent or representative of such.

* Employee means a person wholly or principally employed, either directly or through an agency, and whether for wages or other consideration in connection with any Establishment.

Previous Judicial

Judge Shah in State of Bombay V. Jamnadas Gordhandas., (1956)II LLJ 307 has observed, among other things:

There is nothing in the Act to suggest that a store may contain only one store or that a store may contain only one store. It is not the unit of premises that makes a store, it is the unit of commerce or commercial establishment that distinguishes one store from another. A number of different establishments belonging to different owners or under different managements, but carrying on business or business on the same premises are not unknown and it cannot be suggested that such independent establishments for the purposes of the Bombay Stores and Stores Act are considered as one establishment only. trade. Again, a single business establishment may occupy separate and independent structures built or adapted for separate activities of the establishment, such as executive administration, accounting, consulting, preparation and manufacture of goods, and for the sale of goods and the rendering of services. The above observation may have been made long before the advent of shopping malls in India, however the same can be applied even to shopping malls.

Things to be aware of KioskCo

In light of the above comments, as well as the legal provisions discussed above, the following issues are relevant in determining whether a kiosk must separately apply for S&E registration:

Kiosk Company (KioskCo) as Employer

A kiosk staffed by a KioskCo employee may be construed as a separate and independent store/store in a mall, especially if KioskCo has ultimate control over the affairs of that particular kiosk/store and is therefore the ‘Employer’. ‘. While it is debatable whether KioskCo or Mall have ‘ultimate control’, generally KioskCo will have substantial control over delegated employees, their hours of work, products sold/services provided at these kiosks.

Also, if the question ever comes up (during an inspection by the S&E department), each of these employees will also identify themselves as a KioskCo employee and not a mall employee.

Mall as an employer

If the executed Agreements between Mall and KioskCo do not allow KioskCo to have “ultimate control” over the affairs of the store/kiosk, Mall may be construed as “Employer”.

However, it is unlikely that the Mall or KioskCo will want to list KioskCo employees as employees of the Mall. Registration forms and forms to be submitted notifying the change require the submission of employee details. KioskCo employees would not have been included in the mall’s application. Legal registration of employees and permits obtained, etc. Maintained by the mall will obviously not contain details of KioskCo employees.

While it may be argued that Mall is the Employer, including for common cash reasons for KioskCo’s products/services, failure to cover KioskCo employees under Mall’s registration may cast such argument to the detriment of KioskCo.

From the above, it appears that there may be a requirement for KioskCo to apply for and obtain registration and to comply with other legal requirements.

Compliance for KioskCo:

In practice, in-store stores in India do not obtain separate registrations from the main store, due to the fact that it is onerous for KioskCo to obtain registration for each of its kiosks and also to ensure compliance with S&E laws when only one or two KioskCo employees are assigned to a shopping center.

Below is a non-exhaustive list of records and records that must be maintained (which may also be required to be displayed in the store/establishment) and compliances that must be made in four states:

1.Delhi:

(a) Provide advance notice to the appropriate authority in the event overtime is proposed for employees.

(b) Maintain records in the prescribed manner, including:

* Guest book relating to visits by S&E Inspectors

3. Karnataka:

(a) Application for registration

* Provide each employee with a ‘leave book with wages’

* Notice of closing day

4.Madhya Pradesh:

(c) Notify changes in the information presented in the registration application, as appropriate.

(d) Notification of the day of rest/weekly closure to the corresponding authority and any change in it

(e) Notify the change of dates, if any, for the additional overtime hours prescribed by Law.

(f) Provide prior notification to the appropriate authority in the event that overtime is proposed for employees.

(g) Maintain records in the prescribed manner, including:

* Record attendance, wages, overtime, fines and wage withholdings

* Record of daily hours to work, intervals allowed for rest and meals,

*Vacation registration

* Holiday list

* Copy of license rules

* Excerpts from the Law and the S&E Rules in the specified language

Consequences for KioskCo:

KioskCos’ exposure arising from failure to register is in the form of fines and penalties (generally nominal) imposed by the S&E Acts for non-compliance with the provisions. Below is a general summary of the consequences of violating S&E laws:

1.Delhi:

The prescribed penalties for contravention generally range from Rs 25 to Rs 250. Also, false entries in registers and registers make the person liable to imprisonment for less than 3 months or a fine of Rs 250 or both.

2. Mumbai:

The prescribed penalties for infringement generally range from Rs 1,000 to Rs 5,000. In certain cases, an additional fine of Rs 100 per day may apply. Many clients I meet with on appraisals know they can use one or multiple real estate agents. They also know that using more than one agent could cost them more in fees. What they may not have considered is the fine print of each type of agreement or the relative merits of using one, two or many agents. Here’s our short guide to each;

single agency

Contracts of this type must say the following:

‘You will be responsible for paying us a remuneration, in addition to any other agreed costs or charges, if at any time, the unconditional contracts for the sale of the property are exchanged:

•with a buyer introduced by us during the period of our exclusive agency or

•with whom we had negotiations about the property during that period, or

•with a buyer introduced by another agent during that period.’

The agent is paid if he “introduces” a buyer during the contract period, or if he allows another agent to “introduce” a buyer within the original agent’s contract period. The definition of “introduced” is very broad. It can cover negotiations with a buyer, visits, sending details, phone conversations, and all of these scenarios:

•A buyer knocking on your door upon seeing a “for sale” board.

•A buyer who sees through one agent but then makes an offer through another agent.

•A buyer who is given details of his property by an agent and later realizes that he knows him.

•A buyer who sees through an agent but suggests they do a private deal

Contracts must have a set period of time (average is 12-14 weeks). Keep in mind that a contract almost always has a notice period at the end – add this to the stated length of the contract to calculate the actual amount of time you will be attached to your chosen agent. This type of agreement allows you to find a buyer for your home yourself without paying the realtor (a private sale). If you are considering a joint agency, try to choose two agents who can happily communicate/work together.

Multiple Agency

More than one agent is appointed and there is no fixed contract period. You can add as many agents as you want, remove one at any time, and so on. However, only the agent who actually finds the buyer gets paid.

Often used when a property is not being sold with a single agent, this is an extreme measure to take as the total fees will be considerably higher and the property can become overexposed very quickly. Confusion and disputes can also arise if agents argue over who introduced a particular buyer; be sure to keep track of each agent’s activity.

Rates in General

Estate agents fees are due on completion and should have been billed in the contract exchange. The invoice is sent to the lawyer acting on behalf of the owner, but the owner must also receive a copy to verify. Most deals are on a “no sale, no fee” basis, so you pay nothing if your home doesn’t sell (see additional fees below, though).

Fees must be clearly stated in the contract: if the fee is a percentage of the sale price, a maximum amount in pounds and pence must also be shown.

Although estate agents’ fees are often expressed as a direct percentage of the sales price, remember that they are also subject to VAT at the prevailing rate (currently 20%).

Some real estate agents charge additional fees on top of the sales fee; recently we’ve seen them expressed as “advertising fees” or “removal fees” (a charge if your property doesn’t sell or is taken from an agent). Start-up costs for brochure production and professional photography are also relatively common with top market agents; it would always be worth making sure you know the total of ALL fees you may be responsible for before signing a contract.

Be careful if you agree to a fixed fee from an estate agent – the fee is usually agreed based on the asking price, so if your property is selling for less, you are probably overpaying the agent compared to a real estate agent’s fee. normal percentage (which is charged on the final sale price)

Additional tips

If you change realtors, make sure the previous agent gives you a list of the names of the people who “presented” your property. Make sure you don’t get yourself into a scenario where you owe both agents fees because you didn’t do your homework.

Always ask real estate agents to confirm the terms of your contract in writing (you’d think this is standard practice, but you might be surprised!) and if you end a contract with an agent, make sure they confirm that too.

Games – American Heritage Games

In the early and mid 1960s, Milton Bradley came out with some interesting games, all marketed under the American Heritage game label. All of these were war based games and were very popular at the time. Unfortunately, they were left in obscurity and are now some of the rarest games out there, if you can even find one. Collectors are getting a mint for some of these.

The series began in 1961 with Civil War Edition. This game was a scaled down Civil War battle game. Each side had only 22 pieces consisting of 10 infantry, 10 cavalry, and 2 artillery. To combat an enemy piece, you had to line up your piece adjacent to it in some way, either side to side or facing the piece. Furthermore, in order to defeat the piece, you had to have superior battle strength. Infantry and Artillery had the highest strength of 2 and Calvary had a strength of only 1. You could combine your pieces in any way but to attack with Artillery you had to have a Calvary piece with it. To remove a piece you jump on it, except Artillery pieces don’t jump. The game was won by removing all the pieces on the other side. However, his opponent might give up if he felt there was no way for him to win.

The next game in the series was the 1962 edition of Broadside. This was a game that was likely based on the old wars between Great Britain and Spain during the days of the pirates, although no actual description of a timeline is given. The object of the game is to position your frigates in such a way that they fire on your opponents’ ships and shoot down one of their masts. There are also land cannons that can attack enemy ships, so getting too close to land can be very dangerous. The game itself isn’t very complicated and honestly not that interesting either, but it does contain some great miniatures you can play with and the board is very colourful. Not one of Milton Bradley’s best efforts.

In 1963 the American Heritage series continued with Dogfight. This was a WWI air battle game between the American and German air forces. The game is a very light version of WWI air combat and is not for really serious gamers. Each side receives 6 planes divided into 2 squadrons of 3 planes each. You have to try to maneuver your planes so that you can have a clear shot on an enemy plane without getting shot at yourself. For each plane you shoot down you get a token. These tokens are used to obtain cards. The player with the most cards at the end of the game is the winner.

The last game in the series was Hit The Beach. This game came out in 1965 and was a WWII edition of the landing of the marines on the Japanese beach. In this game, both players are American and the goal is to be the first to reach the Japanese HQ. The Japanese defense forces are obstacles for both players in this game. In this game, each player has 6 pieces consisting of 2 Marines, 2 Infantry, 1 Naval Landing Support Ship, and 1 Strategic Air Support Aircraft. If while moving your pieces you land directly on an opponent’s piece, you send that piece back to the start. Ultimately, this is how you become the first to reach the Japanese HQ. This was probably the most interesting and exciting of all the American Heritage games.
